Terms of Service

1. Definitions

  • “Service” refers to our AI-powered customer support automation platform
  • “Customer” refers to the organization or entity purchasing and using the Service
  • “User” refers to any individual authorized by Customer to access the Service
  • “Data” refers to any information processed through or stored within the Service

2. Service License

2.1. Subject to these Terms and payment of applicable fees, Customer is granted a non-exclusive, non-transferable license to:

  • Access and use the Service
  • Allow authorized Users to access the Service
  • Integrate the Service with Customer’s existing support systems

2.2. Customer shall not:

  • Resell, sublicense, or distribute the Service
  • Reverse engineer or attempt to extract the Service’s source code
  • Use the Service to develop competing products

3. Data Rights and Privacy

3.1. Customer Data Ownership

  • Customer retains all rights to Customer Data
  • We process Customer Data solely to provide the Service
  • We will not access Customer Data except for Service provision, maintenance, or troubleshooting

3.2. AI Training

  • We may use anonymized, aggregated data to improve our AI models
  • No personally identifiable information will be used for AI training without explicit consent

4. Service Level Agreement

4.1. Availability

  • We guarantee 99.9% uptime, excluding scheduled maintenance
  • Scheduled maintenance will be communicated at least 48 hours in advance
  • Service credits will be issued for downtime exceeding guaranteed levels

4.2. Support

  • Technical support via email and phone
  • Regular system updates and security patches

5. Security

5.1. We implement industry-standard security measures including:

  • Regular security audits
  • Encryption of data in transit and at rest

5.2. Customer Responsibilities:

  • Maintain security of login credentials
  • Report security incidents promptly
  • Implement reasonable security practices

6. Payment Terms

6.1. Fees

  • Billed monthly or annually as specified in Order Form for paid services
  • Payment due within 30 days of invoice
  • All fees are non-refundable

6.2. Changes

  • 30 days notice for fee changes
  • Customer may terminate if unwilling to accept fee changes

7. Term and Termination

7.1. Term

  • Initial term as specified in Order Form
  • Automatic renewal unless terminated with 30 days notice

7.2. Termination

  • Either party may terminate for material breach
  • Customer entitled to data export upon termination
  • All fees due immediately upon termination

8. Limitation of Liability

8.1. Our liability shall be limited to:

  • Direct damages up to 12 months of fees paid
  • No liability for indirect, special, or consequential damages
  • Force majeure events excluded from liability

9. Warranties and Disclaimers

9.1. We warrant that:

  • Service will perform substantially as documented
  • We have rights to provide the Service
  • Service will comply with applicable laws

9.2. Disclaimer

  • Service provided “as is” except as warranted above
  • No warranty of merchantability or fitness for particular purpose

10. Governing Law

  • These Terms governed by California law
  • Exclusive jurisdiction in San Francisco courts
  • Prevailing party entitled to reasonable attorney fees

11. Modifications

  • We reserve the right to modify these Terms with 30 days notice
  • Continued use after modifications constitutes acceptance
